These Terms of Service ("Terms") govern your access to and use of the website neuralblueprint.pro and the AI architecture design services provided by NeuralBlueprint, a business registered in Alberta, Canada (BN: 658291473RC0004). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

NeuralBlueprint provides AI architecture design services, including system blueprints, model planning documents, enterprise design documentation, and technical advisory. Our services are limited to the design and planning phase — we do not implement, deploy, or operate AI systems on behalf of clients unless explicitly agreed in a separate statement of work.

Specific deliverables, timelines, and fees are defined in individual proposals or statements of work accepted by both parties. Catalog pricing on this website is indicative and subject to scope confirmation.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements to use our services. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Intellectual Property

All content on this website — including text, graphics, logos, schematic templates, and design methodologies — is the property of NeuralBlueprint and protected by Canadian and international copyright law.

Upon full payment for a design engagement, clients receive a non-exclusive, perpetual license to use deliverables (blueprints, schematics, specifications) for internal business purposes. NeuralBlueprint retains the right to reuse general methodologies, frameworks, and non-client-specific design patterns.

Clients may not resell, sublicense, or publicly distribute NeuralBlueprint deliverables without written consent.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for architecture design
• Designate a primary contact with decision-making authority
• Participate in scheduled review sessions and provide timely feedback
• Ensure that data shared for design purposes complies with applicable privacy laws
• Not use our deliverables for unlawful purposes or in violation of third-party rights

5. Payment Terms

Payment terms are specified in individual proposals. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at 1.5% per month. NeuralBlueprint reserves the right to suspend work on overdue accounts.

All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Applicable taxes (GST/HST) will be added as required by Alberta and federal tax law.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during engagements. NeuralBlueprint will not disclose client project details, system architectures, or business information to third parties without consent, except as required by law or as necessary to perform services through bound subcontractors.

7. Limitation of Liability

NeuralBlueprint's services provide architectural design and planning documentation. We do not guarantee specific business outcomes, model performance, or implementation success. Deliverables represent design recommendations based on information provided by the client at the time of engagement.

To the maximum extent permitted by applicable law, NeuralBlueprint's total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

NeuralBlueprint shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.

8. Disclaimer of Warranties

Our website and services are provided "as is" and "as available." NeuralBlueprint makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of website content or design deliverables, except as explicitly stated in a signed statement of work.

9. Website Use

You agree not to:

• Use our website for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to our systems or networks
• Transmit malware, spam, or harmful code through our contact forms
• Scrape, copy, or reproduce website content for commercial purposes without permission
• Impersonate NeuralBlueprint or misrepresent your affiliation with us

10. Privacy

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference and complies with PIPEDA and Alberta privacy legislation.

11. Termination

Either party may terminate a service engagement with 14 days written notice. Client fees for work completed prior to termination remain payable. NeuralBlueprint may terminate website access or service engagements immediately if the client breaches these Terms or fails to meet payment obligations.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta, sitting in the City of Calgary. You irrevocably submit to the personal jurisdiction of such courts.

Nothing in these Terms limits any rights you may have under applicable consumer protection legislation in Alberta or Canada.

13. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days. If negotiation fails, either party may pursue remedies available under Alberta law.

14. Modifications

NeuralBlueprint may update these Terms at any time. Changes will be posted on this page with an updated effective date. Material changes to Terms affecting active engagements will be communicated to clients directly. Continued use of our website after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
